This ACE marketplace, operated by Amercanex Corporation, is intended to provide a fully transparent, online platform to cannabis businesses which are properly licensed within each State of Origin (Sate of Origin). Amercanex Corporation and the ACE marketplace are not party to any agreements reached and executed on the ACE Marketplace platform; all terms, conditions and consideration(s) are specifically agreed to by the two parties to a transaction. Both parties are independently and solely responsible for ensuring that all applicable laws, rules and regulations are followed.
By logging onto the ACE Marketplace platform, you are attesting to Amercanex Corporation, other Transacting Members of the ACE marketplace, and to the State of Origin that you are a properly licensed cannabis business, currently in “good standing”, and that you intend to follow all applicable laws, rules and regulations, including any codes of conduct introduced and enforced by the ACE Marketplace and Amercanex corporation. You agree that you are one of only two parties to any transaction negotiated on the ACE Marketplace platform. You further agree to hold the ACE Marketplace and/ or Amercanex Corporation harmless for any damages that might be caused as a result of your or another Transacting Members’ failure to meet all the stipulations of an agreed transaction, failure to follow all applicable laws, rules and regulations including any code of conduct instituted by Amercanex Corporation and the ACE Marketplace.
You clearly state that you are currently a properly licensed cannabis business in the State of Origin and intend to meet the obligations of the agreed transaction in a manner compliant with the State of Origin’s laws. State of Origin has regulations that are specific to both recreational and medicinal marijuana, you clearly state you aware and intend to follow ALL laws, rules and regulations that could and or do affect any transactions agreed to on the ACE Marketplace.
You additionally attest to awareness and understanding that regardless of the State of Origin’s laws, cannabis is still considered a controlled substance by the Controlled Substance Act (‘CSA’). Persons who are in the business of cultivating, selling or distributing marijuana, and those who knowingly facilitate such activities, are in violation of the CSA, regardless of state law. State laws or local ordinances are not a defense to civil or criminal enforcement of federal law with respect to such conduct, including enforcement of the CSA. Those who engage in transactions involving the proceeds of such activity may also be in violation of federal money laundering statutes and other federal financial laws.
